Newprinces has signed a binding agreement for the acquisition of 100% Carrefour Italia on the basis of an Enterprise Value equal to about 1 billion euros. The operation, reads a note from the buyer company, is part of the broader strategic plan for the growth and vertical integration of NewPerts Group, with the aim of strengthening its presence in the Italian market and accelerating the convergence between industrial channel and distribution network. With the acquisition of Carrefour Italia, Newprinces becomes the second Italian group in Food for turnover and the first food operator in terms of employment with 13,000 direct operators in Italy and more than 18,000 in the world, as well as further 11,000 people involved in the accessory activities provided by external companies.
The closing of the operation is expected by the end of the third quarter of 2025. The acquisition of Carrefour Italia represents a fundamental step in the strategic transformation of Newprinces, historically active in industrial production in the food & beverage sector, towards an integrated model that combines production, distribution and direct relationship with the consumer. Through this operation, Newprinces will be able to access the final consumer directly, expanding his garrison along the value chain; optimize synergies between production and distribution, improving logistical efficiency and reducing operating costs; enhance the portfolio of existing brands of the group inside the retail network; develop new omnicanal platforms for the sale and deliver of fresh and packaged products; Strengthen its position in key markets at European level, starting from a solid and rooted infrastructure in the Italian territory.
“This integration will allow the group to propose a coherent, sustainable and quality -oriented offer, in line with the emerging trends of consumption and the needs of modern distribution”, continues the note of the company that the investment plan provides that Carrefour reinvests as a one -off 237.5 million contribution in Carrefour Italia in support of the industrial relaunch and operational continuity; Newprinces undertakes to invest in closing 200 million, intended for development, logistics innovation and brand renewal initiatives. The overall investments expected therefore amount to 437.5 million, aimed at enhancing the relaunch of the network and the strengthening of competitiveness on the market.
